Department purpose
Our Digital, Data, IP and Technology practice is comprised of partners with backgrounds in corporate and disputes and who have a deep understanding of IP, corporate, commercial and privacy law. We have strong experience with a wide range of new and emerging technology, including hardware, software and AI-based technologies. Drawing upon our lawyers’ experience as intellectual property lawyers, engineers, and in-house counsel for Silicon Valley emerging start-ups and industry leaders, we advise on all stages of business, including counseling in connection with the procurement and development of technology products and services, providing opinions regarding intellectual property and commercial issues, and drafting and negotiating agreements regarding intellectual property licensing (including content, data, LLMs), alliances, partnerships, joint ventures, outsourcings, and supply and distribution agreements.
Role purpose
A&O Shearman’s global technology transactions practice seeks an accomplished associate to join our Silicon Valley or San Francisco office. The ideal candidate will have a strong background in advising on complex digital, AI, intellectual property, data, and technology matters, often within a corporate and transactional context. This role requires a proactive professional with a global mindset, who can provide strategic legal counsel to clients across a range of industries, ensuring compliance and supporting innovation in a rapidly evolving digital landscape. Successful candidates based in Silicon Valley would additionally have the opportunity to work closely with the co-heads of our global technology sector practice on a daily basis.
The salary range for this position is $225,000 – $435,000, depending on the candidate’s JD year. We offer competitive compensation and benefits package which includes a discretionary bonus, paid leave, life, health, accident, and disability insurance; and a 401(k) plan.
Role and responsibilities
Draft, review, and negotiate a variety of agreements, such as technology licenses, joint ventures, and strategic alliances.
Support corporate transactions involving technology and IP assets, including mergers and acquisitions, due diligence, and post-closing integration.
Assist with product counseling and analysis of emerging legal issues in the technology sector, with a current focus on AI.
Monitor and analyze emerging legal and regulatory trends in technology, data, AI, and IP, and communicate their impact to clients and internal stakeholders.
Minimum Requirements
A Juris Doctor (JD) degree (LLM or foreign equivalent) from an accredited law school.
Must be admitted, and in good standing, to the California bar.
Previous Corporate Technology Transactions experience, either at a firm or in-house.
Preferred Requirements
Ability to work well under pressure and manage your time effectively.
